The core model

boAt is a brand-and-distribution business, not a manufacturer. It designs and brands consumer devices, gets them made by third parties, and sells them mostly through online marketplaces. The report describes it as a digital-first consumer products company selling aspirational lifestyle products at accessible price points.

The giveaway is in the P&L: the biggest expense line is Purchases of stock-in-trade — ₹20,475 million. There is no raw material cost line at all. It buys finished goods and resells them. Property, plant and equipment on the balance sheet is just ₹131 million against ₹29,281 million of revenue. Almost no factory, almost no capital tied up.

Manufacturing sits outside the company in a 50:50 joint venture with Dixon Technologies (Califonix Tech and Manufacturing), set up in 2022 for the "Make in India" push. So it gets domestic sourcing without owning the plant.

Audio still drives ~79% of the business (earphones, headphones, speakers, soundbars). Wearables is smartwatches. "Others" is charging solutions, cables, grooming kits and gaming gear — small, but it grew 60% and is the fastest-moving piece.

The economics

Roughly, on every ₹100 of revenue:

  • ₹71 goes to buying the product

  • ₹12 goes to advertising and promotion (₹3,398 million — the second-largest expense in the whole company)

  • ₹2 to freight, ₹2 to warranty, ₹1 to royalties, ₹4 to employees

  • ~₹3 is left as profit after tax

That advertising number is the point. This is a model where brand spend is effectively the factory — the company buys commodity-ish hardware and the margin comes from what the boAt name lets it charge. The report leans on this too, citing a community of over 20 million "boAtheads."

Distribution — and a real dependency

Two customers alone accounted for ₹16,926 million, about 58% of revenue. The report doesn't name them, but for a company selling through "leading online marketplaces," that's Amazon and Flipkart. That's heavy concentration risk. The offline push through distributors into Tier 1/2 and smaller cities is partly a hedge against it.

The supporting entities

Most subsidiaries are plumbing (trading arms, a Singapore entity, a brand-holding vehicle). The one that matters strategically is KaHa — a Singapore/Shenzhen IoT and wearables tech platform with patented AI/ML capability. That's the in-house technology behind smartwatches, the piece boAt didn't want to outsource.

What FY26 actually says

Revenue fell 3.93% to ₹29,683 million, but profit after tax rose 43.48% to ₹921 million. Wearables swung from a segment loss of ₹467 million to a small profit of ₹29 million. Advertising was cut by ₹500 million and warranty costs by ₹250 million.

So this was a deliberate margin-repair year, not a growth year — shrinking the loss-making smartwatch push, spending less on marketing, cleaning up the P&L. Which makes sense given the context: the company has filed for an IPO (₹5,000 million fresh issue plus ₹10,000 million offer for sale) and wants profitability on the record before listing.
